1. Acceptance of Terms

By accessing and using xello ("Platform"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use constitutes acceptance of modified terms.

2. Eligibility

You must be at least 18 years old to use xello. By creating an account, you represent and warrant that:

• You are of legal age to form a binding contract
• You are not prohibited from using the service under Nigerian law
• All registration information you submit is accurate and truthful
• You will maintain the accuracy of such information

3. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current. Failure to do so constitutes a breach of the Terms.

You are responsible for safeguarding your password. You agree not to disclose your password to any third party and to notify us immediately if your account is compromised.

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or misleading.

4. User Conduct

You agree not to:

• Post false, inaccurate, misleading, defamatory, or libelous content
• List prohibited items (weapons, drugs, counterfeit goods, etc.)
• Engage in fraudulent activities or scams
• Harass, abuse, or harm other users
• Violate any Nigerian laws or regulations
• Manipulate prices or engage in bid manipulation
• Create multiple accounts to circumvent restrictions
• Use automated systems to access the Platform

5. Listings and Transactions

5.1 Platform Purpose: xello is a listing platform that connects buyers and sellers. We do not process payments or participate in actual transactions between parties. All payments and transactions are conducted directly between buyers and sellers outside the platform.

5.2 Auctions: Auction bids are binding commitments. If you win an auction, you are expected to contact the seller and complete the purchase directly. Failure to honor winning bids may result in account suspension.

5.3 Item Swaps: Both parties must agree to swap terms. xello is not responsible for the fairness or completion of swaps.

6. Subscriptions and Services

6.1 Free Listings: Basic listing creation is free and unlimited for all users.

6.2 Premium Subscriptions: Optional subscription plans are available for businesses that want enhanced visibility, featured listings, and premium features. Subscription fees are non-refundable unless otherwise stated.

6.3 No Transaction Fees: xello does not process payments between buyers and sellers. All transactions are conducted directly between parties. We do not charge any commission or transaction fees on sales.

7. Verification

Users may voluntarily verify their identity using BVN or NIN. Verification helps build trust but does not guarantee user behavior. We reserve the right to revoke verification at any time.

8. Intellectual Property

The Platform and its original content, features, and functionality are owned by xello and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of content you post, but grant us a worldwide, non-exclusive license to use, reproduce, and display such content for operating and promoting the Platform.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

WE DO NOT GUARANTEE THE ACCURACY, QUALITY, OR RELIABILITY OF USER CONTENT OR LISTINGS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XELLO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Dispute Resolution

Disputes between users must be resolved directly between the parties. xello may provide information to assist but is not obligated to mediate disputes.

Any disputes with xello shall be governed by Nigerian law and resolved in Lagos courts.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or the Platform.

You may terminate your account at any time through your account settings.
